Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ByDatum, Inc. ("ByDatum," "we," "us," or "our"), the operator of the CashflowCycles Platform ("Platform"), accessible at cashflowcycles.com and any associated subdomains or white-label portals.

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you must not use the Platform.

ByDatum provides the Cashflow Platform, a cloud-based financial management application designed for accounting firms, businesses, and their clients to manage cash flow, financial reporting, and banking integrations. Our services include:

• Real-time financial tracking, monitoring, and dashboards
• Expense categorization and management
• Cash flow forecasting, analytics, and financial alerting
• Financial reporting (balance sheets, cash flow summaries, expense distributions)
• Secure connection to financial institutions via Plaid, Inc. for account and transaction data retrieval
• Subscription billing and payment processing via Stripe, Inc.
• Secure document storage, management, and digital signatures
• Multi-tenant firm and client portal management
• Technical support and training

To access the Platform, you must create an account and complete the onboarding process. You are responsible for:

• Providing accurate, current, and complete registration information (including your name, email address, firm name, and role)
• Maintaining the confidentiality and security of your account credentials
• All activities that occur under your account
• Notifying us immediately at support@cashflowcycles.com of any unauthorized access to, or use of, your account

ByDatum reserves the right to suspend or terminate accounts that contain inaccurate information or that are used in violation of these Terms.

4.1 Plaid Integration

The Platform uses Plaid, Inc. to enable you to securely connect your financial institution accounts. By using this feature, you:

• Authorize ByDatum to access and retrieve your financial account information (including account details, balances, and transaction history) through Plaid on your behalf.
• Acknowledge that Plaid's End User Privacy Policy governs Plaid's collection and use of your data.
• Understand that you may disconnect any linked financial institution at any time from within the Platform, which will permanently revoke the Plaid access token and stop further data synchronization.
• Understand that upon disconnection, you may choose to have all associated financial data (transactions, account records, synchronization logs) permanently deleted from our systems.

4.2 Stripe Integration

The Platform uses Stripe, Inc. to process subscription payments. By subscribing to the Platform, you:

• Authorize Stripe to process your payment information. ByDatum does not store full credit card numbers on its servers.
• Acknowledge that Stripe's Privacy Policy governs Stripe's processing of your payment data.

4.3 Accuracy of Financial Data

ByDatum retrieves financial data from your connected institutions via Plaid and presents it as received. While we strive to present data accurately, ByDatum does not guarantee the accuracy, completeness, or timeliness of financial data provided by third-party institutions. You acknowledge that:

• Financial reports, forecasts, and alerts generated by the Platform are for informational purposes and do not constitute financial, tax, legal, or investment advice.
• You should verify all financial data and consult qualified professionals before making financial decisions based on information provided by the Platform.

Your privacy is important to us. Our collection, use, sharing, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

As a User of the Platform, you are responsible for:

• Ensuring you have obtained proper consent from any individuals whose data you input into or manage through the Platform (including clients whose financial institutions you connect)
• Maintaining the accuracy of the data you input
• Complying with all applicable data protection and privacy laws in your jurisdiction
• Promptly notifying ByDatum of any suspected data breach or unauthorized access to consumer financial data

If you are a Firm User managing Client Users, you acknowledge that you act as a data controller with respect to your clients' data, and ByDatum acts as a data processor on your behalf. You are solely responsible for establishing and maintaining a lawful basis for processing your clients' personal and financial data.

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Platform for any illegal, fraudulent, or unauthorized purpose
• Violate any applicable local, national, or international laws or regulations
• Infringe upon the intellectual property or privacy rights of others
• Attempt to gain unauthorized access to our systems, networks, or other users' accounts
• Interfere with, disrupt, or impose an unreasonable burden on the Platform's infrastructure
• Use the Platform to transmit harmful, malicious, or deceptive code or content
• Scrape, harvest, or collect data from the Platform through automated means without our prior written consent
• Resell, sublicense, or redistribute access to the Platform without authorization

Access to certain features of the Platform requires a paid subscription. Payment terms include:

• Subscription fees are billed in advance on a monthly or annual basis, as selected during registration
• All fees are non-refundable except as required by applicable law
• ByDatum reserves the right to change pricing with at least 30 days' prior written notice
• Failure to pay may result in suspension or termination of access to the Platform
• You may manage your subscription, update payment methods, or cancel through the Stripe customer portal accessible from within the Platform

The Platform and its original content, features, functionality, design, and underlying technology are the exclusive property of ByDatum, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain full ownership of your data and content. By using the Platform, you grant ByDatum a limited, non-exclusive, non-transferable license to use your data solely for the purpose of providing, maintaining, and improving the Platform's services to you.

ByDatum implements robust technical and organizational security measures to protect your data, including:

• Encryption of all data in transit using TLS 1.2 or higher
• Encryption of all data at rest using AES-256 via AWS Key Management Service
• Centralized identity management and role-based access controls via AWS Cognito
• Multi-factor authentication (MFA) for administrative access to critical systems
• Secure secrets management for all third-party API credentials (including Plaid and Stripe keys)
• Infrastructure defined and deployed entirely via AWS Cloud Development Kit (CDK), enabling full auditability

ByDatum retains your data for as long as your account is active or as needed to provide you with services. Upon account closure or subscription cancellation:

• Essential records may be retained for a period required by applicable tax, financial, and regulatory obligations (typically up to seven years)
• You may request deletion of your personal data by contacting us at privacy@cashflowcycles.com
• Upon verified request, all personal data and associated financial records will be permanently removed in accordance with applicable data privacy laws
• Plaid access tokens are permanently revoked upon financial institution disconnection or account deletion

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BYDATUM, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE PLATFORM.

BYDATUM'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO BYDATUM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. BYDATUM DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ByDatum does not warrant that the Platform will be uninterrupted, timely, secure, or error-free, or that the financial data retrieved from third-party institutions will be accurate or complete.

You agree to indemnify, defend, and hold harmless ByDatum, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of a third party
• Any data you input into the Platform or financial institutions you connect via Plaid

You may terminate your account at any time by contacting our support team at support@cashflowcycles.com or through your account settings.

ByDatum may terminate or suspend your account immediately, without prior notice, for conduct that we reasonably believe violates these Terms, is harmful to other users, or poses a risk to the security or integrity of the Platform.

Upon termination:

• Your right to access and use the Platform will cease immediately
• All linked financial institution connections will be disconnected and Plaid access tokens permanently revoked
• Your data will be handled in accordance with our Data Retention and Deletion policy (Section 10) and our Privacy Policy

ByDatum reserves the right to modify these Terms at any time. When we make material changes, we will:

• Post the revised Terms on our website with an updated "Effective Date"
• Notify registered users via email where required by law or where the change materially affects your rights or obligations

Your continued use of the Platform after such changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and may request account deletion.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA), except that either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

These Terms, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and ByDatum, Inc. regarding the use of the Platform and supersede all prior agreements, understandings, and communications.
